These Website Terms of Use ("Terms") govern your access to and use of cydenic.com and any other public webpages operated by CYDENiC, Inc. that link to these Terms (collectively, the "Website").

The Website is owned and operated by CYDENiC, Inc. ("CYDENiC," "we," "us," or "our"). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

1. Scope of These Terms

These Terms govern only the public Website and the general information made available through it.

These Terms do not govern the licensing, implementation, configuration, support, or use of any CYDENiC software, platform, processor, application, API, professional service, customer environment, demonstration environment, or other commercial offering. Those products and services may be governed by separate agreements, order forms, policies, or terms.

Nothing on the Website constitutes an offer to provide a product or service on any particular terms. Any commercial relationship with CYDENiC is subject to an applicable written agreement.

2. Eligibility and Intended Audience

The Website is intended for business and professional audiences. By using the Website, you represent that you have the legal capacity to agree to these Terms.

If you access or use the Website on behalf of a company or other organization, you represent that you are authorized to act on behalf of that organization in connection with your use of the Website.

The Website is not directed to children under 13 years of age.

They are not a substitute for an implemented and properly configured CYDENiC product or service operating under an applicable customer agreement.

Product performance and applicability may depend on source-data quality, configured rules and assumptions, product versions, permissions, implementation scope, customer configuration, third-party systems, and the facts of the use case.

No public Website statement guarantees a particular business, financial, operational, technical, legal, or regulatory outcome.

CYDENiC and Ci6 are the subjects of pending trademark applications. Certain aspects of CYDENiC's Governed Determination Architecture, or GDA, are the subjects of pending patent applications.

The existence of a pending application does not mean registration or issuance has been granted. CYDENiC reserves all rights associated with its pending applications and other intellectual property.

Third-party names, logos, product names, and marks displayed on the Website are the property of their respective owners. Their appearance does not necessarily imply endorsement, sponsorship, affiliation, or approval.

CYDENiC's collection and use of personal information through the Website are described in the CYDENiC Privacy Policy.

9. Communications Submitted Through the Website

You may contact CYDENiC through the Website or by email. You are responsible for ensuring that information you provide is accurate and that you have the right to provide it.

Do not submit confidential, proprietary, regulated, legally privileged, or sensitive personal information through the Website's general contact form.

Submitting a message does not create a confidential, professional-services, customer, vendor, or other special relationship; require CYDENiC to respond; or bind CYDENiC to provide a product, service, demonstration, or opportunity.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ALL CONTENT MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE."

CYDENiC DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN THOSE JURISDICTIONS, THE ABOVE EXCLUSIONS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CYDENiC AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATING TO THE WEBSITE, WEBSITE CONTENT, OR THIRD-PARTY SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF CYDENiC AND THE OTHER CYDENiC PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT PERMIT CERTAIN LIMITATIONS OF LIABILITY. IN THOSE JURISDICTIONS, THESE LIMITATIONS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless CYDENiC and its directors, officers, employees, agents, affiliates, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of your unlawful use of the Website, material violation of these Terms, or infringement of another person's rights through your use of the Website.

15. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Website are governed by the laws of the State of Texas, without regard to conflict-of-law principles that would require application of another jurisdiction's laws.

16. Exclusive Forum and Venue

Any legal action or proceeding arising out of or relating to these Terms or the Website must be brought exclusively in a state court of competent jurisdiction located in Collin County, Texas, or a federal court of competent jurisdiction serving Collin County, Texas.

You and CYDENiC consent to the personal jurisdiction of those courts and waive objections based on venue or an inconvenient forum, to the extent permitted by law.

Nothing in this section prevents CYDENiC from seeking temporary, preliminary, or permanent injunctive or equitable relief in a court of competent jurisdiction where necessary to protect its intellectual property, confidential information, systems, or legal rights.

17. Time Limit for Claims

To the maximum extent permitted by applicable law, any claim arising out of or relating to the Website or these Terms must be filed within one year after the claim arose. Otherwise, the claim is permanently barred. This limitation does not apply where applicable law prohibits shortening a statutory limitations period.

18. General Terms

If any provision of these Terms is found invalid, illegal, or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

CYDENiC's failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without CYDENiC's prior written consent. CYDENiC may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, operation of law, or similar transaction.

These Terms and the Privacy Policy constitute the entire agreement between you and CYDENiC concerning use of the public Website. Separate written agreements may apply to CYDENiC products, services, demonstrations, and commercial relationships.

19. Changes to These Terms

CYDENiC may update these Terms periodically. When updated, the "Last Updated" date will be revised. Changes become effective when posted unless a later effective date is stated.
